1. Agreement Overview

This Affiliate Marketing Agreement (the "Agreement") is entered into by and between DM&A, LLC, a Limited Liability Partnership ("Company"), and the individual or entity participating in the affiliate marketing program ("Affiliate").

2. Enrollment in the Affiliate Program

Welcome to Birds and Bees of Money / DM&A, LLC! Thanks for joining our Affiliate program.

2.1 To become an Affiliate, the prospective participant must complete the online application on the Company's website.

2.2 The Company reserves the right to reject any application for any reason, including but not limited to websites containing objectionable content, illegal activities, or violation of intellectual property rights.

3. Commissions and Payouts

3.1 The Affiliate will earn a commission for each sale generated through their unique affiliate link.

3.2 Commission of 50% will be earned by affiliate per sale not returned.

3.3 Commissions will be paid on a quarterly basis, provided that the Affiliate has reached the minimum payout threshold of 10 sales by the Company.

3.4 Affiliate is not an employee of the Company and will need to supply social security number or tax identification number to receive commission payouts. In addition, they will receive a 1099 at the end of year as they are responsible for their own taxes.

4. Affiliate Responsibilities

4.1 The Affiliate agrees to use ethical and legal promotional methods to promote the Company's products or services.

4.2 The Affiliate shall not engage in any form of spam, unethical marketing practices, or false advertising.

4.3 The Affiliate is responsible for ensuring that their promotional methods comply with all applicable laws and regulations.

5. Termination

5.1 Either party may terminate this Agreement at any time with or without cause by providing written notice to the other party.

5.2 The Company reserves the right to terminate an Affiliate's participation in the program for breach of any terms outlined in this Agreement.

6. Intellectual Property

6.1 The Company grants the Affiliate a limited, non-exclusive, revocable license to use the Company's trademarks and promotional materials solely for the purpose of promoting the Company's products or services.

6.2 The Affiliate agrees not to modify, alter, or misuse any intellectual property provided by the Company.

7. Confidentiality

7.1 Both parties agree to keep confidential any non-public information received from the other party during the term of this Agreement.

8. Miscellaneous

8.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether oral or written.

8.2 This Agreement may be amended only in writing and signed by both parties.

9. Governing Law and Dispute Resolution

9.1 This Agreement shall be governed by and construed in accordance with the laws of Nevada.

9.2 Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the Arbitration Organization to be selected by Company.
